Terms of Service

Welcome to Soap (“Soap,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Soap platform (the “Service”), including our website at www.soapnotes.online, mobile applications, and any related tools for managing practice data, invoices, payments, and integrations. By creating an account, accessing the Service, or using any features, you agree to these Terms on behalf of yourself or the entity you represent. If you do not agree, do not use the Service.

The Service is intended for licensed professionals, such as therapists, coaches, and tutors, to manage their practices. You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By using the Service, you represent that you meet these requirements and will comply with applicable laws.

1. Description of the Service

Soap provides tools to help professionals organize client data, generate invoices, process payments, schedule sessions, and integrate with third-party services. Features include session notes, billing automation, and secure data storage. We may update the Service at any time, and some features may require payment or additional consents.

2. User Accounts and Responsibilities

To access the Service, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. Notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts for violations of these Terms or suspicious activity.

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, including those related to data protection (e.g., PIPEDA in Canada) and professional conduct. You are solely responsible for the accuracy, quality, and legality of any data you upload or share (e.g., client notes).

3. Third-Party Integrations

The Service integrates with third-party providers, such as Zoom (for virtual sessions), Google (for calendar sync), Calendly (for booking), and Klaviyo (for notifications). Use of these integrations is subject to their respective terms and your separate consents. We do not endorse these providers and are not responsible for their services, data practices, or downtime. When you connect an integration, you grant us permission to access and use necessary data (e.g., Zoom profile for meeting creation) as described in our Privacy Policy.

Disconnect integrations via your account settings at any time. We may limit or discontinue integrations without notice.

4. Payments and Billing

The Service may offer free and paid plans. Paid features are billed in advance on a recurring basis (e.g., monthly or annually) via third-party processors like Stripe. You agree to pay all fees as described at signup. Prices may change with notice (30 days for existing subscribers). Refunds are limited to our policy (e.g., pro-rated for cancellations).

All payments are non-refundable except as required by law. You are responsible for taxes. If your payment fails, we may suspend access until resolved.

5. Intellectual Property

The Service, including code, design, and content, is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal practice management during your subscription.

You retain ownership of your uploaded data (e.g., client notes). By using the Service, you grant us a worldwide, royalty-free license to host, display, and process that data to provide the Service. Do not upload content that infringes third-party rights.

6. User Conduct and Prohibited Activities

You agree not to: (a) misuse the Service (e.g., reverse-engineer, overload servers); (b) upload harmful content (e.g., viruses, illegal material); (c) harass others or violate laws; (d) use the Service for commercial resale without permission; or (e) interfere with other users.

We may monitor usage for compliance but respect your privacy as outlined in our Privacy Policy. Violations may result in account termination without refund.

7. Disclaimers and Limitation of Liability

The Service is provided “as is” without warranties, express or implied, including for accuracy, availability, or fitness for a particular purpose. We do not guarantee uninterrupted access or error-free operation. Integrations with third parties are at your risk—we are not liable for their performance.

To the fullest extent permitted by law, Soap, its affiliates, and providers shall not be liable for indirect, incidental, consequential, or punitive damages (e.g., lost profits, data loss), even if advised of the possibility. Our total liability shall not exceed fees paid by you in the prior 12 months.

8. Termination

You may cancel your account anytime via settings; subscriptions continue until the end of the billing period. We may terminate or suspend access for violations, with or without notice. Upon termination, you lose access to the Service, but we will retain data as needed for legal/compliance purposes (see Privacy Policy).

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of Ontario, Canada, without regard to conflict principles. Any disputes shall be resolved exclusively in the courts of Toronto, Ontario. You agree to waive jury trials and class actions.

10. Changes to These Terms

We may update these Terms at any time. Changes will be posted here with an updated “Last Updated” date. Continued use after changes constitutes acceptance. For material changes, we will notify you via email or in-app notice (30 days).
